Master Terms and Conditions of Service

1. Scope of Agreement and Acceptance of Terms

Contractual Binding: These Master Terms and Conditions of Service ('Terms') constitute a legally binding agreement between you ('User', 'you', or 'your') and the operator of Passione90 ('Passione90', 'Platform', 'we', 'us', or 'our'). These Terms govern your access to and use of the Passione90 mobile application across iOS and Android operating systems, along with all associated features, content, databases, and third-party integrations.

Entity Representation: By creating an account, downloading, accessing, or utilizing any portion of Passione90, you expressly acknowledge that you have read, understood, and agreed to be bound by these Terms and our Global Privacy Policy. If you are accepting these Terms on behalf of a registered football club, academy, or sports organization under the 'Club' role, you warrant and represent that you possess full legal authority to bind such entity to this Agreement.

IMPORTANT NOTICE — DUAL JURISDICTION NOTICE (EU & US) For users residing in the European Union (EU/EEA), these Terms incorporate statutory consumer protection rights under EU directives, including the EU Consumer Rights Directive and Digital Services Act (DSA). For users residing in the United States, these Terms include a binding arbitration agreement and class action waiver in Section 13.

2. Platform Overview & Multi-Role Architecture

Core Functionality: Passione90 operates as a comprehensive, multi-role digital football ecosystem designed to connect the global soccer community. The Platform features a single-account role switcher allowing users to operate seamlessly under four distinct functional roles, each governed by specific operational rights and responsibilities:

3. User Accounts, Authentication & Security

Account Credentials: User accounts are created and authenticated utilizing Supabase backend infrastructure supporting email/password registration and OAuth social logins (Google, Apple). Users are responsible for maintaining the confidentiality of their credentials and enabling Two-Factor Authentication (2FA) where supported.

Account Integrity: You agree to provide accurate, current, and complete information during registration and to update your account profiles promptly. You are strictly prohibited from transferring, selling, or sharing your account access with third parties. Passione90 reserves the right to suspend or terminate accounts that contain fraudulent information or violate platform security protocols.

4. Youth Players, Minors & Parental Consent Protocol

Protection of Minors: Passione90 is committed to protecting minor athletes and youth academy players across both European and American jurisdictions:

United States (COPPA): In compliance with the US Children's Online Privacy Protection Act (COPPA), children under the age of 13 may only access Passione90 under a verified Youth Player profile linked to a consenting parent, legal guardian, or authorized youth club administrator. Consent must be verified prior to profile creation or media uploading.

European Union (GDPR Article 8): In accordance with Article 8 of the EU General Data Protection Regulation (GDPR), users under the digital age of consent (16 years, or lower national threshold down to 13 years depending on EU Member State law) require verifiable parental responsibility consent for personal data processing.

5. User-Generated Content (UGC) & Scout Reporter Module

Content Uploads: Passione90 enables users to upload, publish, and share User-Generated Content (UGC), including video goal clips, athletic highlight reels via the Scout Reporter module, profile photos, comments, and tactical lineups:

Grant of License: You retain ownership of the original copyright in your UGC. However, by submitting content to Passione90, you grant us a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, display, reproduce, modify, and distribute your content solely for operating, promoting, and improving the Platform.

Warranties on Content: You represent and warrant that you own or possess all necessary rights, licenses, consents, and permissions (including image rights and music synchronization licenses) to upload your UGC, and that your submissions do not infringe upon the intellectual property or privacy rights of any third party.

6. Content Moderation, Copyright & Notice-and-Takedown

Moderation Framework: Passione90 maintains a zero-tolerance policy for illegal, infringing, or abusive content. We implement active moderation and reporting tools:

US DMCA Protocol: For copyright owners in the United States, Passione90 complies with the Digital Millennium Copyright Act (DMCA). Written notices of claimed infringement must be directed to our Designated Copyright Agent containing the statutory elements required under 17 U.S.C. § 512(c)(3).

EU Digital Services Act (DSA): In accordance with the EU Digital Services Act (Regulation EU 2022/2065), EU users can submit notices regarding illegal content via our structured Notice-and-Action mechanism. Content decisions are subject to internal complaint-handling processes and out-of-court dispute settlement options.

7. In-App Commerce, Ticket Exchange Board & Subscriptions

Payment Processing: All financial transactions across Passione90, including ticket transfers on the Ticket Exchange Board, club membership fees, and premium player features, are processed securely through third-party payment gateways Stripe and PayPal:

Ticket Exchange Rules: The Ticket Exchange Board serves as a peer-to-peer and club-to-fan ticketing facilitation module. Users agree not to engage in speculative ticket scalping, fraudulent ticket listing, or reselling tickets at prices exceeding statutory price caps established by football governing bodies or national legislation.

EU Consumer Rights & Refunds: Under the EU Consumer Rights Directive, EU consumers acknowledge that performance of digital content begins immediately upon purchase, and by consenting to immediate access, express waiver of the 14-day right of withdrawal applies to digital subscription features once fully executed.

8. Artificial Intelligence Disclaimer (Grok xAI Insights)

AI Functionality: Passione90 incorporates artificial intelligence features powered by the Grok (xAI) engine to deliver AI coaching insights, workout scores, tactical recommendations, and post-match summaries:

IMPORTANT NOTICE — AI WORKOUT & FITNESS DISCLAIMER AI-generated training plans, tactical scheme suggestions, and workout scores provided by Grok AI are for informational, fitness tracking, and entertainment purposes only. They do NOT constitute professional athletic coaching, medical advice, or physical therapy. Users should consult qualified sports medical professionals prior to undertaking strenuous training regimens.

9. Third-Party Data Services & API Integrations

External Data Feeds: Passione90 integrates third-party APIs to deliver real-time football content, including live match scores and statistics via API-Football, sports news feeds via GNews, and push notification delivery via Google Firebase Cloud Messaging (FCM). Passione90 does not warrant the continuous uptime, complete accuracy, or uninterrupted delivery of third-party API data feeds.

10. Intellectual Property Rights & Platform Protection

Proprietary Rights: The Passione90 brand name, logo, UI/UX design, software code, databases, and proprietary algorithms are the exclusive intellectual property of Passione90. Users are granted a limited, non-exclusive, non-transferable, revocable license to use the app for personal, non-commercial purposes in compliance with these Terms.

11. Prohibited Conduct & Account Termination

Enforcement Actions: Users agree not to participate in prohibited activities, including illegal sports betting/gambling integration, match-fixing manipulation, hate speech, harassment, reverse engineering app code, or automated scraping. Passione90 reserves the right to immediately suspend or terminate access for violations.

12. Disclaimers of Warranties & Limitation of Liability

Liability Framework: To the maximum extent permitted by applicable law, Passione90 is provided on an 'AS IS' and 'AS AVAILABLE' basis without warranties of any kind, express or implied. For US users, Passione90 shall not be liable for indirect, incidental, special, or consequential damages. For EU users, statutory consumer liability guarantees remain unaffected where non-excludable under national law.

13. Governing Law & Dispute Resolution (EU & US Provisions)

Jurisdictional Dispute Terms: For US residents, any dispute arising out of these Terms shall be resolved via binding individual arbitration under the Federal Arbitration Act, and you waive rights to participate in class actions. For EU/EEA residents, disputes are governed by the laws of your Member State of residence, and you retain full access to competent local consumer courts and the EU Online Dispute Resolution platform.
